Welcome to Proud Roofing. These Terms of Service (“Terms,” “Agreement”) govern your access to and use of the website located at proudroofingtx.com (the “Site”) and any related services, tools, content, or features offered by Proud Roofing (“Proud Roofing,” “we,” “us,” or “our”).
By accessing or using our Site, submitting a form, requesting an inspection, using our roof estimate calculator, or otherwise interacting with us, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site or services.
1. Acceptance of Terms
By accessing or using the Site, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms and all applicable laws. If you are accessing the Site on behalf of a business or other organization, you represent that you have the authority to bind that entity to these Terms.
2. Description of Services
Proud Roofing is a residential and commercial roofing contractor serving Cypress, Katy, Tomball, and the greater Houston, Texas area. Through the Site, we provide:
- Information about our services, including roof replacement, repair, storm damage restoration, gutter installation, commercial roofing, and roof inspections
- A free online roof estimate calculator that uses satellite imagery to provide ballpark project estimates
- Forms for scheduling free inspections, requesting quotes, and contacting our team
- Access to third-party financing options through select lending partners
- Educational content, FAQs, and project galleries
Use of the Site does not create a contractual relationship for roofing services. Roofing services are provided pursuant to separate written agreements signed at the time of project commitment.
3. Use of the Site
You agree to use the Site only for lawful purposes and in a manner consistent with these Terms. You agree not to:
- Use the Site in any way that violates applicable laws or regulations
- Submit false, misleading, or fraudulent information through any form
- Attempt to gain unauthorized access to our systems, servers, or any portion of the Site
- Use automated tools, bots, scrapers, or similar means to access or extract data from the Site
- Interfere with or disrupt the Site, our servers, or networks
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site without our express written permission
- Use our roof estimate calculator for any purpose other than obtaining a personal estimate for your own roofing project
- Reverse engineer, disassemble, or otherwise attempt to derive source code from any portion of our software or tools
We reserve the right to deny access to the Site, terminate accounts, or pursue legal action against anyone who violates these Terms.
4. Roof Estimate Calculator — Important Disclaimer
Our online roof estimate calculator (the “Calculator”) uses third-party satellite imagery (provided by Google Maps Platform and the Google Solar API) and average material pricing to generate ballpark project cost estimates.
Estimates generated by the Calculator are not binding quotes, contracts, or offers to perform work. They are educational illustrations intended to give you a general sense of project cost ranges. Actual project costs depend on numerous factors that the Calculator cannot assess, including but not limited to:
- Exact roof measurements verified by on-site inspection
- Current condition of decking, underlayment, flashing, and supporting structures
- Hidden damage discovered during teardown
- Permit and inspection fees specific to your municipality
- Material availability and current market pricing
- Project complexity, slope variations, and architectural features
- Required code upgrades, ventilation modifications, or structural repairs
Any final project price will be provided in a written estimate following an on-site inspection by a Proud Roofing representative. You acknowledge and agree that Calculator estimates are provided “as is,” may differ substantially from final pricing, and should not be relied upon as a basis for any financial decision.
Proud Roofing makes no warranty regarding the accuracy of Calculator estimates and shall not be liable for any decisions made in reliance on Calculator outputs.
5. Free Roof Inspections
Free inspections offered through the Site are visual assessments performed by Proud Roofing personnel to provide a general overview of roof condition. Free inspections:
- Are limited to visual examination of accessible roof areas
- Do not constitute structural engineering reports, formal property condition assessments, or guarantees of roof condition
- May not identify hidden damage, latent defects, or issues that require destructive testing
- Are provided as a courtesy and do not obligate you to purchase any services from Proud Roofing
- Do not create any duty to detect or warn of conditions outside the scope of a visual roof inspection
Recommendations made during inspections reflect the professional opinion of the inspector based on the conditions observed at the time of inspection and may be revised upon further inspection or change in conditions.
6. Project Estimates, Quotes, and Agreements
Any binding agreement for roofing services requires a separate written contract signed by both you and an authorized representative of Proud Roofing. Project estimates and quotes:
- Are valid for the period specified in the written estimate (typically 30 days)
- May be revised based on changes in scope, materials, or on-site conditions discovered during work
- Do not include work or materials not explicitly listed in the estimate
- Are subject to applicable taxes, permit fees, and any required code-upgrade work
By scheduling and accepting a written quote, you acknowledge that you have reviewed the scope of work, materials, pricing, and timeline, and you agree to the terms set forth in the written project agreement.
7. Financing
Proud Roofing partners with third-party financial institutions to offer financing options to qualified customers. Important information about financing:
- Proud Roofing is not a lender, lending institution, or financial advisor
- All loans, credit terms, approval decisions, and repayment obligations are between you and the third-party lender
- Financing pre-qualification through our Site or partners is not a guarantee of approval
- Loan terms, interest rates, and eligibility are determined by the lender based on your creditworthiness and applicable lending laws
- Proud Roofing receives no compensation for steering customers to specific lenders unless disclosed in writing
You agree to review and accept the terms of any loan agreement directly with the lender. Proud Roofing is not responsible for loan terms, lender practices, or disputes between you and any third-party lender.
8. SMS / Text Message Communications
If you opt in to receive text messages from Proud Roofing by submitting a form on our Site that includes the SMS consent checkbox, you agree to receive recurring text messages from Proud Roofing at the phone number you provided. These messages may include appointment reminders, project updates, estimate delivery, customer service follow-ups, and promotional offers.
- Message frequency varies (typically 2–10 messages per month)
- Standard message and data rates may apply through your mobile carrier
- You can opt out at any time by replying STOP to any message

9. Intellectual Property
All content on the Site, including text, graphics, logos, images, videos, software (including the roof estimate calculator and any custom tools), trademarks, and design elements, is the property of Proud Roofing or its licensors and is protected by copyright, trademark, and other intellectual property laws.
You may not:
- Reproduce, distribute, modify, or create derivative works of any Site content without our written permission
- Use our trademarks, logos, or trade dress without our prior written authorization
- Copy, embed, frame, deep-link, or otherwise display the roof estimate calculator on any other website without an executed license agreement with Proud Roofing
- Remove any copyright, trademark, or other proprietary notices from any portion of the Site
You may share links to the Site on social media or by email, and you may print or download materials from the Site for personal, non-commercial use only.
10. User Submissions and Reviews
If you submit reviews, comments, photos, testimonials, or other content to Proud Roofing through the Site, email, social media, or any other channel (“User Content”), you grant Proud Roofing a non-exclusive, royalty-free, perpetual, worldwide, irrevocable license to use, reproduce, modify, publish, display, and distribute that content for marketing, promotional, and business purposes.
You represent and warrant that:
- The User Content is original to you or you have the right to grant the license described above
- The User Content does not violate any third party’s rights, including intellectual property and privacy rights
- The User Content is truthful and accurate
Proud Roofing reserves the right to remove, edit, or refuse to publish any User Content for any reason.

12. Disclaimers of Warranties
THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROUD ROOFING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
PROUD ROOFING DOES NOT WARRANT THAT:
- The Site will be uninterrupted, secure, or error-free
- The Site will be available at any particular time or location
- Defects in the Site will be corrected
- The Site or any servers are free of viruses or harmful components
- Information on the Site is accurate, complete, or current

13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROUD ROOFING AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR PERSONAL INJURY ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, REGARDLESS OF THE LEGAL THEORY UPON WHICH SUCH CLAIM IS BASED, EVEN IF PROUD ROOFING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100), OR THE AMOUNT YOU PAID PROUD ROOFING FOR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.
This limitation applies to all causes of action, whether based in contract, tort, negligence, strict liability, or otherwise. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless Proud Roofing and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use or misuse of the Site
- Your violation of these Terms
- Your violation of any applicable law or third-party right
- Any User Content you submit
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts.
16. Dispute Resolution and Arbitration
Please read this section carefully — it affects your legal rights.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall first be addressed through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
- Arbitration shall take place in Harris County, Texas
- The arbitrator’s decision shall be final and binding
- You waive your right to a jury trial and to participate in any class action lawsuit
- You may bring claims only on an individual basis and not as a plaintiff or class member in any class action or representative proceeding
This arbitration clause does not apply to claims that may be brought in small claims court, nor does it limit your ability to report a concern to a relevant government agency.
17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving the original intent.
18. Waiver
Our failure to enforce any provision of these Terms shall not be considered a waiver of that provision or our right to enforce it in the future.
19. Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and Proud Roofing regarding your use of the Site, and supersede any prior agreements or understandings.
20. Modifications to These Terms
We may update or modify these Terms at any time at our sole discretion. When we make material changes, we will update the “Effective Date” at the top and notify users through the Site or by email where appropriate. Your continued use of the Site after changes are posted constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.
